General Terms of Sale ddd

These General Terms of Sale apply to all sales between ASYA Pamuk Sanayi Ürünleri ve Pazarlama Ticaret Ltd. Şti. (the "Seller") and business customers purchasing our products wholesale (the "Buyer"). Where the proforma invoice or a signed sales contract states otherwise, that provision prevails.

1. Offers and Order Confirmation

The Seller's offers are valid for the period stated in the offer. An order becomes binding once the Buyer confirms the proforma invoice in writing and any advance payment has been received in the Seller's account. Changes to confirmed orders require the Seller's written approval.

2. Prices

Unless otherwise stated, prices are quoted EXW (Incoterms 2020), excluding VAT and other taxes. In the event of changes in raw material, energy or exchange rates, the Seller reserves the right to update prices for offers and orders that have not yet been confirmed.

3. Payment

Payments are made by bank transfer (T/T). Payment terms are stated in the proforma invoice for each order. The Seller may withhold loading until payment is completed. Bank charges are borne by the Buyer.

4. Delivery (EXW)

Goods are delivered EXW – Ex Works, ready for loading at the Seller's facility/warehouse in Istanbul. Accordingly:

  • The choice of carrier and forwarder, freight, insurance, export and import customs formalities and all related costs are the Buyer's responsibility.
  • The risk of loss or damage passes to the Buyer when the goods are placed at the disposal of the Buyer or the Buyer's nominated carrier at the place of delivery.
  • The Seller provides the commercial documents required for export (such as invoice, packing list, certificate of origin and analysis certificates).
  • The loading date is scheduled in advance between the Buyer and the Seller.

5. Production and Lead Time

The lead time depends on the products and quantities and is stated in the proforma invoice for each order. For private label products, it starts from the Buyer's approval of the packaging design. Delays caused by force majeure or by the Buyer extend this period accordingly.

6. Minimum Order and Mixed Containers

Orders are placed per carton, pallet or container. Different products can be loaded together in a mixed container. Minimum order quantities depend on the product and packaging type and are stated in the offer.

7. Private Label Products

  • The Buyer confirms that the brand, logo, packaging design and texts supplied for production belong to the Buyer and do not infringe the rights of third parties, and that the Buyer is responsible for the compliance of the label information with the regulations of the destination country.
  • Production starts after the Buyer's written approval of the packaging design; the cost of any changes after approval is borne by the Buyer.
  • Printing plate (cliché) and packaging set-up costs are stated separately in the offer.
  • Products and packaging made specifically for the Buyer cannot be cancelled or returned.

8. Quality, Samples and Claims

Products are manufactured in accordance with the approved sample and specifications. Samples are sent once our price offer is approved; sample shipping costs are covered by the Buyer. The procedure and time limits for shortages, damage or defects are set out in our Returns and Claims Policy.

9. Retention of Title

Ownership of the goods remains with the Seller until full payment has been received.

10. Force Majeure

Neither party is liable for delay or failure to perform its obligations due to events beyond its control, such as natural disasters, epidemics, war, strikes, power outages, exceptional disruption in raw material supply or decisions of public authorities. If force majeure lasts longer than 60 days, either party may terminate the contract.

11. Limitation of Liability

The Seller's liability is in all cases limited to the invoice value of the goods concerned. The Seller is not liable for indirect damages, loss of profit or compensation paid to third parties.

12. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul (Anatolia) have jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
